These Terms of Service (“Terms”) govern your access to and use of the website www.ackbx.com and all related services, features, content, and applications offered by Ackbx (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (available at www.ackbx.com/privacy-policy or a similar location on https://www.google.com/search?q=ackbx.com), which is incorporated herein by reference.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms. We reserve the right to modify or revise these Terms at any time, in our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on our website and updating the “Effective Date” at the top, or by sending an email notification to registered users. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

3. Account Registration and Security

  • Account Creation: To access certain features of the Service, particularly Ackbx Xpenser, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

  • Age Requirement: You must be at least 16 years old to use the Service. By creating an account and using the Service, you represent and warrant that you are at least 16 years of age.

4. Use of the Service

  • Permitted Use: The Service is provided for your personal, non-commercial use to manage your finances more easily and reliably. You agree to use the Service only for lawful purposes and in accordance with these Terms.

  • Prohibited Conduct: You agree not to:

    • Use the Service in any way that violates any applicable federal, provincial, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from Canada or other countries).
    • Use the Service for any fraudulent, illegal, or unauthorized purpose.
    • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm Ackbx or users of the Service or expose them to liability.
    • Attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service or to any Ackbx server.
    • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
    • Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
    • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
    • Impersonate or attempt to impersonate Ackbx, an Ackbx employee, another user, or any other person or entity.
    • Upload, post, or transmit any content that is offensive, harmful, or infringes on the rights of others.

  • Ackbx Xpenser Specifics: The Ackbx Xpenser portion of the Service does not require access to your bank accounts or linking to other sensitive financial websites. You choose what information you input. You are solely responsible for the accuracy and legality of the data you enter. Ackbx does not provide financial advice, tax advice, or any other professional services. The information provided through the Service is for informational purposes only and should not be relied upon for transactional or investment decisions.

5. User-Provided Content

  • Your Data: Any financial data or other information you input into Ackbx Xpenser or other parts of the Service is “User-Provided Content.” You retain all rights in and to your User-Provided Content.

  • License to Ackbx: By providing User-Provided Content, you grant Ackbx a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating, improving, and providing the Service to you. This license terminates when you delete your account or the relevant content, unless required to be retained by law or for legitimate business purposes.

  • Representations and Warranties: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to provide your User-Provided Content to Ackbx and that your User-Provided Content does not infringe, misappropriate, or violate a third party’s intellectual property rights, or rights of publicity or privacy, or violate any applicable law or regulation.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Ackbx, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and expressly permitted by Ackbx for the Service’s intended functionality.

7. Disclaimers and Limitation of Liability

  • NO FINANCIAL ADVICE: ACKX AND ITS SERVICE DO NOT PROVIDE FINANCIAL, TAX, LEGAL, OR INVESTMENT ADVICE. THE INFORMATION PROVIDED IS FOR GENERAL INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY. YOU ARE SOLELY RESPONSIBLE FOR YOUR FINANCIAL DECISIONS AND SHOULD CONSULT WITH QUALIFIED PROFESSIONALS FOR ADVICE TAILORED TO YOUR SPECIFIC SITUATION.

  • NO GUARANTEE OF ACCURACY OR AVAILABILITY: ACKX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ACKX DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, ACKX’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Ackbx, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User-Provided Content, any use of the Service’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

9. Governing Law and Jurisdiction

These Terms and your use of the Service will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of the Province of Ontario, located in Toronto, Ontario, Canada, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

10. Termination

We may terminate or suspend your access to all or part of the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through your account settings.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Ackbx regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

  • Waiver and Severability: No waiver by Ackbx of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Ackbx to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

  • Headings: The headings in these Terms are for convenience only and have no legal or contractual effect.
